1. Intellectual Property

• All content created by SEO Talks, including website designs, videos, written content, graphics, and branding elements, remains our intellectual property until full payment is made.

   

• Once paid in full, you receive the license to use the deliverables as per agreed scope.

   

• You may not resell, redistribute, or claim credit for our work without our written permission.

   

You may not use any of our trademarks, logos, or service marks without our consent.

1. Confidentiality

Both parties agree to maintain confidentiality of shared information, including strategy documents, business details, login credentials, and any non-public data.

1. Project Cancellation
   If a client wishes to cancel the project after confirmation, the decision must be communicated in writing. In such cases:

• Any advance or milestone payments made are non-refundable.

   

• If partial work is completed, you may be charged proportionately for the work done.

   We reserve the right to decline a project or discontinue service if we feel the project:

• Is unethical, harmful, or violates any law

   

• Presents technical/creative constraints beyond our capacity

   

• Has inconsistent or incomplete communication from the client

We may integrate or use services from third-party platforms including but not limited to:

• WordPress / Shopify / Wix

   

• Canva / Adobe / Figma / Notion

   

We are not responsible for the functionality, uptime, or changes on these platforms. Their usage is subject to their own terms and privacy policies.

1. Modifications to Services or Website

We reserve the right to modify, update, suspend, or discontinue any part of the website or services without prior notice. This includes adding new services, changing pricing, or updating design.

Such changes will be reflected on our website and take effect immediately.

1. Limitation of Liability

• Losses due to miscommunication or delay from the client side

   

• Third-party outages (e.g., server crashes, platform bans, etc.)

   

• Errors caused by incorrect or incomplete information provided by the client

   

• Unforeseen market changes impacting ad performance, SEO rankings, or reach

   

Our liability, if proven, shall not exceed the fees paid by the client for the specific service.

1. Governing Law & Jurisdiction

    

These Terms shall be governed in accordance with the laws of India. Any disputes will be subject to the jurisdiction of the courts of Thanjavur, Tamil Nadu.
